FRIENDS MANAGEMENT STRUCTURE

SCORE(Small Business Administration Councilors) recommends that non-profit organizations indicate in their charter that the corporation will not have members since members can lead to the inability of the Board of Directors to function. However, organization can have dues paying members as long as the members do not elect or control the Board. The by-laws of the Friends is setup in this manner and relies on the Friends to perform specific delegated areas of responsibility under Board direction consistent with the role of the Friends. The County is to have control of all activities performed by the Friends in support of Park

We should be able to develop an organization of 100 to 200 or more Friends which represent a wide range interest and ability. Most will be satisfied to support the mission but have no interest in being actively involved. Some would be willing to personally contribute their time where they believe they can make a difference receive some recognition for their effort. We need to utilize their abilities with particular attention to those that are capable of performing leadership roles. The Friends by-laws are structured to utilize these people by delegating to them the responsibility for managing a particular program area or activity consistent with responsibilities delegated to the Friends in a Memorandum of understand which may be modified from time to time consistent with the Friends ability to perform and the County‘s needs.

Once established the Board of Directors will be self sustaining since they will name their replacements and new directors as needed. Initially five Board members will installed which will serve as a standing Executive Committee to oversee the Friends organization and coordinate Park planning, development and operating activities with the County. Two of the five Committee members will be named by and serve at the pleasure of the County. The Committee will appoint at least four additional Board members to maintain at least a nine member Board. They should be selected from those willing to actively participate and serve as Program Directors. Program Directors are Friends have accepted responsibility for managing a defined program area and are Board Member as long as they serve in that capacity They may form a team of Friends to assist them in carrying out their responsibility. They must be responsive to the Boards directions and keep the Board informed of their plans and activates.

The by-laws makes provision for, non-voting, Honorary Directors that are appointed by the Board as special advisors or in recognition of their service. They may attend Board meeting and offer suggestions or advice. Any Friend in good standing may attend Board meeting and offer comments or suggestions for the Board’s consideration in an orderly manner.
